Terms of Service

1. Acceptance of Terms

Welcome to skilldock, operated by Heureka Labs UG (haftungsbeschränkt) ("we," "us," or "our"). By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our service.

You must be at least 16 years old to use skilldock. By using our service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Description of Service

skilldock is a Software-as-a-Service (SaaS) platform that enables users to:

• Add and manage data on any topic through various integrations
• Automatically generate knowledge graphs enhanced with additional information using Large Language Models (LLMs)
• Create "skillpods" - comprehensive knowledge structures combining knowledge graphs, vector store data, and other components
• Integrate skillpods into AI systems, particularly AI Agents
• Access and interact with skillpods through chat interfaces

The service is currently in beta and features may change without prior notice. We provide the service on a best-effort basis.

3. Account Registration and Security

To use certain features of skilldock, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You are solely responsible for maintaining the confidentiality of your account and password.

4. User Data and Ownership

You retain ownership of your original input data that you upload or integrate into skilldock. For AI-generated content and derived works:

• Your Input Data: You retain full ownership of original data you upload or integrate through our platform
• AI-Generated Content: Knowledge graphs, enhancements, and other content generated by our LLM-powered systems are licensed to you for your use, while we retain rights to use anonymized or aggregated insights for service improvement
• Skillpods: You receive a license to use skillpods you create, which may incorporate both your data and our AI-generated enhancements

By using our service, you grant us a non-exclusive, worldwide license to process, store, display, and analyze your data for the purposes of: (a) providing the skilldock service to you, (b) improving our AI models and services using anonymized or aggregated data, and (c) generating insights and enhancements. We will not sell your personal data or use identifiable data for marketing to third parties without your explicit consent.

You are responsible for ensuring you have the necessary rights and permissions to upload and process any data through our service.

5. Acceptable Use Policy

You agree not to use skilldock for any of the following prohibited activities:

• Illegal Content: Uploading, processing, or distributing any illegal content, including but not limited to material that promotes harassment, hate speech, violence, or illegal activities
• Competitive Use: Using our service to develop, build, or operate a competing product or service, or reverse-engineering our algorithms or systems
• Resource Abuse: Making excessive API calls, attempting to scrape our service, or engaging in any activity that places unreasonable burden on our infrastructure
• Misinformation: Deliberately creating or spreading false information, deepfakes, or misleading content intended to deceive others
• Violating any applicable laws, regulations, or third-party rights
• Attempting to gain unauthorized access to our systems or other users' accounts
• Interfering with or disrupting the integrity or performance of our service

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy.

6. Service Limitations

skilldock is provided with the following limitations:

• Rate Limits: API calls and service requests are subject to rate limiting to ensure fair usage and system stability
• Data Amount Limits: Storage and processing capacity per user or team account is subject to limits based on your subscription tier
• No SLA Guarantee: We provide the service on a best-effort basis without guarantees of uptime or availability. Service interruptions may occur
• Beta/Experimental Status: The service is currently in beta. Features may be added, modified, or removed without prior notice

We will make reasonable efforts to notify users of significant changes or planned maintenance, but are not obligated to do so.

7. Pricing and Payment

skilldock operates on a freemium model with both free and paid subscription tiers:

• Free Tier: Limited features and capacity available at no cost
• Paid Subscriptions: Enhanced features and increased capacity through monthly or annual subscriptions

No Refunds: All payments are final and non-refundable. You may cancel your subscription at any time, and you will retain access to paid features until the end of your current billing period. No refunds or credits will be provided for partial months or unused subscription time.

We reserve the right to change our pricing at any time. Price changes will apply to new subscriptions and renewals. We will provide at least 30 days advance notice before price changes affect existing subscribers' renewal dates.

8. Third-Party Integrations

skilldock allows integration with third-party services and data sources. You are solely responsible for:

• Ensuring you have authorization to connect third-party accounts to skilldock
• Complying with the terms of service of any third-party services you integrate
• Understanding how data flows between skilldock and integrated services
• Managing permissions and access controls for integrated services

We are not responsible for the availability, content, or practices of third-party services.

9. Intellectual Property

The skilldock platform, including its design, software, algorithms, and documentation, is owned by Heureka Labs UG (haftungsbeschränkt) and is protected by copyright, trademark, and other intellectual property laws.

You retain all rights to your data and content (as described in Section 4). We retain all rights to the skilldock platform and technology.

10. Data Processing and GDPR Compliance

As a German company, we comply with the General Data Protection Regulation (GDPR) and German data protection laws. Our data processing practices include:

• Processing personal data only as necessary to provide our service
• Implementing appropriate technical and organizational security measures
• Respecting your rights under GDPR, including access, rectification, erasure, and portability
• Primarily processing and storing data within the European Union, with appropriate safeguards (such as Standard Contractual Clauses) when using third-party processors outside the EU/EEA

11. Disclaimers and Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The service will be uninterrupted, secure, or error-free
• The results obtained from the service will be accurate or reliable
• AI-generated knowledge graphs or content will be error-free or suitable for your purposes
• Any errors in the service will be corrected

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Heureka Labs UG (haftungsbeschränkt) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, resulting from your use of or inability to use the service.

Our total liability for any claims arising from these Terms or your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Termination

We reserve the right to suspend or terminate your account and access to skilldock at any time, with or without notice, for:

• Violation of these Terms of Service
• Violation of our Acceptable Use Policy
• Non-payment of fees
• Any reason at our sole discretion

You may terminate your account at any time through your account settings or by contacting us. Upon termination, you will lose access to your data. We recommend exporting your data before termination.

Following account termination, we will delete your personal data from our production systems within a reasonable timeframe, typically 30-60 days, except where: (a) retention is required by law (e.g., tax, accounting, or legal purposes), (b) data is subject to legal hold or ongoing dispute, (c) data exists in backup systems subject to our regular backup retention policies, or (d) anonymized or aggregated data is retained for analytical purposes. We are not obligated to retain your data after account termination beyond these exceptions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Posting the updated Terms on our website with a new "Last Updated" date
• Making reasonable efforts to send an email notification to the address associated with your account
• Displaying a notice through our service interface

It is your responsibility to review these Terms periodically and maintain a valid email address. Your continued use of skilldock after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the service and may terminate your account.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of skilldock shall be subject to the exclusive jurisdiction of the courts located in Germany.

16. Severability
